1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and EVSignals Inc. ("EVSignals," "we," "our," or "us") governing your access to and use of our website, APIs, data products, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

EVSignals provides prediction market analytics, odds data, and related data services, including but not limited to:

• Market data APIs and real-time odds feeds
• Data notebooks for prediction market analysis
• Expected value scanning and alerts
• Historical odds data and settlement archives
• Python SDK and developer tools

3. Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. License and Data Usage

4.1 License Grant

Subject to these Terms and payment of applicable fees, EVSignals grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and data provided thereunder for your internal business purposes.

4.2 Restrictions

You may not:

• Resell, redistribute, or sublicense our data without prior written consent
• Use data to create a competing product or service
• Remove or alter any proprietary notices or labels
• Attempt to reverse engineer or derive source data methodologies
• Exceed your authorized API rate limits or access levels
• Use the Services for any unlawful purpose

4.3 Data Attribution

Where permitted to display or publish our data, you must include appropriate attribution to EVSignals as the source, in a manner specified in your service agreement or our documentation.

5. Payment Terms

Access to our paid Services requires payment of applicable fees as specified in your service agreement. You agree to:

• Pay all fees when due as specified in your agreement
• Provide valid payment information
• Be responsible for all applicable taxes

Fees are non-refundable except as expressly stated in your service agreement. We reserve the right to suspend access for overdue payments.

6. Intellectual Property

All right, title, and interest in and to the Services, including all intellectual property rights, are and will remain exclusively with EVSignals. These Terms do not convey any ownership rights in the Services or our data.

You may not use our trademarks, logos, or brand assets without our prior written consent.

7. Data Accuracy and Disclaimers

While we strive to provide accurate and reliable data, we make no warranties regarding the accuracy, completeness, or timeliness of any data provided through our Services. Our data is provided "as is" and:

• Should not be the sole basis for business decisions
• May contain errors, omissions, or delays
• Is subject to change without notice
• Does not constitute investment, legal, or professional advice

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• EVSIGNALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR LOSSES RESULTING FROM YOUR RELIANCE ON OUR DATA

9. Indemnification

You agree to indemnify, defend, and hold harmless EVSignals and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.

10. Termination

Either party may terminate these Terms or any service agreement:

• For convenience with 30 days' written notice (unless otherwise specified)
• Immediately upon material breach by the other party
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, your access to the Services will cease, and you must stop using any data obtained through our Services as specified in your agreement.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed in connection with the Services, including but not limited to pricing, technical specifications, and business strategies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and EVSignals regarding the Services, unless superseded by a signed service agreement.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right or provision shall not constitute a waiver.
• Assignment: You may not assign these Terms without our prior written consent.
